About LLC Colorado.org
LLC Colorado.org forms Colorado LLCs for a $199 service fee plus Colorado's state fees, with the first year of Colorado registered agent service included.
What LLC Colorado.org does
- Preparation and filing of your LLC's formation document (the Articles of Organization or Colorado's equivalent) with the state.
- Delivery of the state-returned formation documents to your online account.
- Your first year of Colorado registered agent service. It renews at $99/year after 12 months.
How forming your LLC with us works
Standard Colorado processing for a new LLC takes 1 business day after we file.
State processing times are set by the state and can change.
Price and what's included
Colorado LLC formation: $199 our fee + $50 Colorado state filing fee = $249 due today. The first year of registered agent service is included; it renews at $99/year after 12 months.
EIN (federal tax ID) application: $99. The IRS charges no fee for an EIN. Founders with no SSN or ITIN add $99 for international processing.
State fees are shown separately from our fee. We collect them with your order and pay them to the state at cost when we file.
What it leaves out
- The state's filing fee and any mandatory state expedite fee. They are listed separately above, collected with your order and paid to the state.
- The federal EIN (tax ID number). That is a separate service: $99.
- An operating agreement.
- BOI / FinCEN beneficial-ownership reporting.
- Legal or tax advice. We are a filing service, not a law firm.
Staying compliant in Colorado
What most states call an annual report, Colorado calls the Periodic Report. Every Colorado LLC files one each year with the Secretary of State: $25, online only, due in the entity's anniversary month, with an unusually forgiving filing window on either side. Letting it slide is the most common route to administrative dissolution, and entirely avoidable. See our full compliance guide for the rest of the post-formation picture, or the formation guide if you are just getting started.

Every LLC formed in Colorado must designate a registered agent as part of the formation process. The requirement lives at Colo. Rev. Stat. § 7-90-701, the definitions section of Colorado's unified business organizations code, and it applies to every entity type the state registers. An LLC without a reachable agent can lose lawsuits it never knew existed, because service of process counts whether or not the papers reach you.

Frequently asked questions
When did the annual fee increase?
July 1, 2024. The Periodic Report went from $10 to $25, with a $50 penalty for filings made after the window closes.
What if nothing has changed since last year?
You file anyway. The Periodic Report is Colorado's confirmation that your principal office and registered agent information remain current, and there is no exemption for unchanged information.
Do I get a registered agent with my LLC?
Yes. Your first year of Colorado registered agent service is included with the formation. After 12 months it renews automatically at $99/year unless you turn off auto-renewal or cancel in your online account.
Can Your LLC Be Its Own Registered Agent?
Yes, but not on day one, and the two halves of that answer both matter: At formation, an LLC cannot name itself. The portal requires you to appoint an eligible individual or an existing eligible entity when the Articles of Organization are filed. After formation, self-selection is allowed. Colorado permits an entity to serve as its own registered agent, so once your LLC exists and meets the eligibility rules, you can file a change to designate the LLC itself. Most owners never bother with the second step: an individual member with a Colorado address and Colorado ID can simply serve from the start, or a professional service can hold the role so no member's address enters the public record.
Is the Periodic Report fee tax-deductible?
Yes. The $25 report fee and other state filing fees are ordinary business expenses on your federal return (Schedule C for single-member LLCs, Form 1065 for multi-member).
Refunds and cancelling
Registered agent service renews automatically for another year on each renewal date, unless you turn off auto-renewal or cancel in your online account, or give written notice at least 30 days before the renewal date. Renewal reminders go out about 60 days ahead.
You can cancel at any time from your online account or by contacting support. Cancelling does not by itself remove us as registered agent on the state record; a change of registered agent or resignation filing does that.
Anything already filed with the government is not refundable. Registered agent fees are not refundable once we or our partner have been appointed with the state. State fees are not refundable once paid to the state.
