Colorado LLC Filing Fee: $50 for Articles of Organization
Filing Articles of Organization with the Colorado Secretary of State costs $50, paid online. Colorado takes LLC Articles online only; there is no paper form and no form number. The fee must be paid by credit card, debit card or a prepaid account, and filings are processed in real time, so the LLC exists right after payment unless you pick a delayed effective date.
The recurring cost is the $25 periodic report, filed online each year in your entity's periodic report month.
Colorado LLC fees at a glance
| Filing | State fee | When |
|---|---|---|
| Articles of Organization (Online filing) | $50 | Once, to form the LLC |
| Expedited service | Not offered for LLC Articles | The $150 expedite applies only to paper filings |
| Periodic report (Online) | $25 | Any time from two months before to two months after your periodic report month |
| Late penalty | $50 | If the report is late and the entity becomes Noncompliant |
| Change of registered agent (Statement of Change) | $10 | When the agent changes |
| Name reservation (optional) | $25 | Holds a name for 120 days |
| Cure a delinquency (Statement Curing Delinquency) | $100 | After the entity becomes Delinquent |
The report timeline works like this: if your periodic report month is January, the due date is March 31. Miss it and the entity is Noncompliant, with a late report due by May 31. Miss that and it becomes Delinquent. The delinquent entity keeps its name for 400 days, then the name is changed and becomes available to others. After five or more years, curing also needs an affidavit and photo ID.
Where these figures come from
- The Secretary of State's business fee schedule lists the $50 Articles, $25 periodic report, $10 agent change, $25 name reservation, $50 late penalty and $100 curing statement.
- The e-filing FAQ covers online payment and real-time processing; the LLC checklist (PDF) lists what the Articles ask.
- The registered agent FAQ covers agent eligibility, and the delinquency FAQ and periodic report FAQ cover the report timeline.
How to file Colorado Articles of Organization
- Pick a name that is distinguishable and includes one of the accepted terms, such as "limited liability company", "L.L.C.", "LLC" or "Ltd." The business database search on the Secretary of State site is free.
- Name a registered agent with a physical Colorado street address (no P.O. box or commercial mail address for the street address). An individual agent must be over 18 and hold a valid Colorado driver's license or ID, or verify residency with the Secretary of State. The agent must consent.
- File online through the Secretary of State's business filing site and pay the $50 by card or prepaid account. You will give the principal office address, the registered agent, whether managers or members manage, and the person forming the LLC. Much of this becomes public record.
- Save the filed document the system returns; it is available immediately after payment.
- Find your periodic report month on the entity's Summary page and calendar the window, since the Secretary of State emails reminders only if you sign up.
