Colorado LLC Annual Report: $25, Due in Your Report Month
Colorado calls the yearly LLC filing a Periodic Report, and it costs $25. It is filed online with the Colorado Secretary of State; there is no paper option.
Your due month is your entity's "Periodic report month," shown on its Summary page. The state says the report can be filed two months before that month or two months after without any penalty. After that, a $50 late penalty applies.
Colorado periodic report at a glance
| Item | Fee | Deadline |
|---|---|---|
| Periodic report (online only) | $25 | Report month, plus or minus 2 months |
| Late penalty | $50 | After the window closes |
| Delinquent status | Not filed by the late deadline (May 31 for a January report month) | |
| Statement Curing Delinquency | $100 | Any time after delinquency |
What the report asks for
It updates or confirms the principal office and the registered agent. If you sign up, the Secretary of State emails a reminder the month before your report month.
If you miss the window
Using a January report month as the state's example: the report is due March 31. If it is not filed by then, the entity becomes Noncompliant and a late report is due by May 31. If it is still not filed by May 31, the entity becomes Delinquent (C.R.S. ยง 7-90-901). To cure, file a Statement Curing Delinquency for $100; online cures return the entity to Good Standing immediately. The delinquent entity name is saved for 400 days, and on the 401st day it is changed to include the word "delinquent" and the original name becomes available. After five or more years, an affidavit and photo ID are also required.
