Colorado LLC Amendments — How to Change Your Filing
If you need to change information in your Colorado LLC's Articles of Organization — such as your LLC name, management structure, or registered agent — you file Articles of Amendment with the Colorado Secretary of State. The fee is $25 and the filing is done online at sos.colorado.gov. For all compliance requirements, see our after-formation guide. For formation details, see how to form a Colorado LLC.
What Requires an Amendment
You need to file Articles of Amendment when changing:
- LLC name — Any change to the legal name requires an amendment
- Management structure — Switching from member-managed to manager-managed (or vice versa)
- Duration — Changing from perpetual to a fixed term (or extending a fixed term)
- Other provisions — Modifying any additional provisions in your original Articles
What Does NOT Require an Amendment
These changes are handled through other filings (not an amendment):
| Change Needed | Filing Type | Fee |
|---|---|---|
| Registered agent | Statement of Change | $10 |
| Principal address | Periodic Report (update when filing) | $0 (part of $25 report) |
| Member/manager changes | Periodic Report (update when filing) | $0 (part of $25 report) |
| Adding a trade name (DBA) | Trade Name Registration | $20 |

Common Amendment Scenarios
Changing your LLC name:
- Must still comply with the Colorado LLC Act naming rules
- New name must include LLC designator and be distinguishable from existing entities
- Consider the downstream effects: update bank accounts, contracts, licenses, EIN letter (your EIN stays the same but notify the IRS of the name change via Form SS-4 or letter)
Switching management type:
- Member-managed to manager-managed: useful when bringing in passive investors
- Manager-managed to member-managed: useful when all owners want equal operational control
- Update your operating agreement to reflect the new structure
Adding provisions:
- For example, adding a statement of purpose, adding restrictions, or modifying dissolution triggers
After Filing an Amendment
After your amendment is approved:
- Update your operating agreement to match
- Notify your bank if name or management changed
- Update any contracts, licenses, or registrations that reference the old information
- If you changed your name, the IRS doesn't need a new EIN — just notify them of the name change
